There are several jurisdictions for business registration in the UAE.
If you are planning a business that is targeted at the UAE market, or you want to open a real estate agency, your choice should be a company registered in the material part of the UAE (mainland). Companies registered in this jurisdiction have no restrictions when choosing a sales strategy: domestic and foreign markets, legal entities and individuals, distinction of tenders. Since 2022, the requirement for the participation of a local partner when registering a company for most business areas has been canceled.
If you are a service company planning to work in foreign markets or sell something in the UAE, but within a limited area (a beauty salon, a retail outlet in a selected area), your choice may be a company registered in a free zone. The advantage of such registration is that all registration procedures are carried out on a “single window” principle in the free zones of the administration. For a certain type of business, you can get an exemption from paying taxes. If you plan to buy and sell goods on the UAE’s account or place goods in transit warehouses for resale or processing, your choice may be to register your company in a preliminary free zone from the Cabinet of Ministers list. In this case, you will not expect to pay customs duties and VAT on goods, because such zones will be considered as remote regions of the UAE. There is also the possibility of receiving corporate tax benefits. A significant disadvantage of such registration is the refusal of local banks to open accounts.
